Agreement and order of priority
By accessing or using Cognia, you agree to these terms. If you use Cognia for an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the service.
A signed order form, enterprise agreement, data processing addendum, or product-specific terms take priority over this page where they conflict. The entity identified in that agreement is the Cognia contracting party.
Eligibility, accounts, and access
You must be at least 18 years old and legally able to enter the agreement. You are responsible for accurate account information, authorized users, device security, credentials, and all activity under your account.
- Use strong authentication and keep credentials confidential.
- Grant only the permissions required for a documented workflow; exchange connections should remain read-only.
- Notify Cognia promptly of suspected unauthorized access or account compromise.
Permitted use and customer responsibilities
Cognia may be used for lawful portfolio, data, analysis, tax preparation, reporting, research, and collaboration purposes supported by the service. You are responsible for the legality, accuracy, rights, and instructions associated with data you provide.
- Do not upload private keys, seed phrases, trading credentials, or information you are not authorized to process.
- Do not interfere with the service, probe it without permission, bypass limits, distribute malware, or use outputs to harm or unlawfully profile others.
- Do not misrepresent automated output as verified professional advice or a regulator-approved conclusion.
Product outputs and professional judgment
Cognia may use automated systems and third-party data to organize information and generate analysis, classifications, summaries, scenarios, or reports. Outputs may be incomplete, delayed, or incorrect and may change when data, assumptions, rules, or market conditions change.
- Cognia does not provide investment, legal, tax, accounting, brokerage, custody, or fiduciary services through general product output.
- You must review outputs and obtain qualified professional advice where appropriate before trading, filing, reporting, or relying on a conclusion.
- Third-party networks, exchanges, providers, and market data remain subject to their own terms and availability.
Fees, ownership, and feedback
Paid services, renewal, usage limits, taxes, and cancellation are governed by the checkout terms or applicable order form. Except for rights expressly granted, Cognia and its licensors retain rights in the service, software, design, documentation, and underlying technology.
You retain rights in data you lawfully provide. You grant Cognia the limited rights needed to host, process, transmit, and display that data to provide and secure the service. If you provide feedback, Cognia may use it without restriction or payment, provided it does not identify confidential customer data.
Suspension, termination, and changes
Cognia may suspend or limit access where reasonably necessary to protect the service or users, investigate misuse, respond to legal requirements, address non-payment, or prevent material harm. You may stop using the service at any time, subject to applicable subscription or order terms.
Features and these terms may change as the service evolves. Material changes will be communicated through a reasonable channel. Continued use after an updated effective date constitutes acceptance where permitted by law.
Disclaimers, liability, and governing law
To the maximum extent permitted by law, the service is provided on an 'as available' basis without warranties not expressly stated in an applicable agreement. Cognia does not guarantee uninterrupted access, error-free outputs, investment performance, tax outcomes, regulatory acceptance, or preservation of third-party data.
To the maximum extent permitted by law, Cognia is not liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or loss of profits, revenue, opportunity, goodwill, or data. Any aggregate liability is limited to the amount paid for the affected service during the twelve months before the event, unless an applicable signed agreement or mandatory law provides otherwise.
Unless a signed agreement states otherwise, these terms are governed by the laws of Hong Kong, without regard to conflict-of-law principles, and disputes are subject to the exclusive jurisdiction of the courts of Hong Kong. Mandatory consumer rights remain unaffected.
